1. Acceptance of Terms

By accessing or using Candor HOA LLC ("the Service," "we," "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a homeowners association, condominium association, or similar organization ("your HOA"), you represent that you have authority to bind that organization to these terms.

If you do not agree to these terms, do not use the Service.

2. Description of Service

Candor HOA is a financial planning and community management platform for self-managed homeowners associations. The Service includes reserve fund modeling, assessment planning, community communications, and related tools. Features may be added, modified, or removed at any time.

Access to the Service is by invitation from your HOA's board administrator. You are responsible for:

4. Your Data

Your HOA's financial data, documents, and communications ("HOA Data") are owned by your organization. We store HOA Data on your behalf using Cloudflare's infrastructure.

Certain features use artificial intelligence (powered by Anthropic's Claude API) to generate explanations, parse documents, or draft communications. You acknowledge that:

7. SMS and Push Notifications

If your HOA enables SMS notifications, message and data rates may apply. Users can opt out of SMS at any time by replying STOP or updating their notification preferences in the app. For push notifications, users control permissions through their device's notification settings.

8. Fees and Payment

During the open beta period, the Service is provided at no charge. When paid plans are introduced, we will provide at least 30 days' notice. Organizations using the Service during the beta will be given the option to transition to a paid plan or continue with read-only access to their data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FINANCIAL PROJECTIONS GENERATED BY THE SERVICE WILL BE ACCURATE OR COMPLETE.

Financial models and projections are tools to support decision-making, not guarantees. Always consult a qualified reserve study professional, accountant, or attorney for important financial or legal decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANDOR HOA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from use of the Service shall not exceed the fees paid by your organization in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Candor HOA LLC and its operators from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

12. Termination

Either party may terminate service at any time. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the Service ceases immediately, subject to the data retention period in Section 4.

13. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Alameda County, California.

14. Changes to These Terms

We may update these terms periodically. We will notify board administrators by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the new terms.
